TEXAS SECTION OF
THE ASSOCIATION OF ENGINEERING GEOLOGISTS
(Adopted September 20, 2000)

C O N S T I T U T I O N

ARTICLE I. NAME AND LOCATION
Section 1.
The name of this association is "Texas Section of the Association of Engineering Geologists", hereinafter termed the Texas Section. The headquarters of the Texas Section shall be at a place of convenience to the Texas Section Chair.

ARTICLE II. OBJECTIVE
Section 1.
The objective of the Texas Section shall be to advance the profession of Engineering Geology, in accordance with the Aims of the Association of Engineering Geologists.

ARTICLE III. AFFILIATION AND MEMBERSHIP
Section 1.
The Texas Section is a part of the Association of Engineering Geologists, incorporated under the laws of the State of California, and is subject to the Constitution and Bylaws thereof.

Section 2.
Membership in the Texas Section shall be limited to persons who are Members in any grade of the Association of Engineering Geologists, hereinafter termed the Association. The membership classes of the Texas Section shall be the same as those of the Association.

Section 3.
Membership in the Texas Section shall be concurrent with Membership in the Association. Membership shall be effective upon receipt of annual Association dues, annual Section dues and any special assessments by the Association or Section currently in force.


ARTICLE IV. OFFICERS AND MANAGEMENT
Section 1.
The Texas Section Board of Directors shall consist of the Officers of the Texas Section and Chapter Presidents. The Officers of the Texas Section shall consist of the Chair, Vice Chair, Secretary, and Treasurer. Their duties, manner of election, and terms of office shall be as set forth as outlined in the Constitution and the Bylaws of the Texas Section. The Chapter Offices, duties of the Officers, manner of election, and the terms of offices shall be established by the Chapters.

Section 2.
The affairs of the Texas Section shall be managed by the Texas Section Chair. The funds and financial obligations of the Texas Section shall be managed by the Texas Section Treasurer in accordance with the Constitution and Bylaws of the Texas Section.

Section 3.
The term of the Texas Section Chair shall be two (2) years. Terms of all other elected Section Officers shall be one (1) year. Elections shall be held by mailed ballot. The ballot forms may be included in the Summer edition of the Texas Section Newsletter or mailed separately, but in no case will the outgoing ballot forms be postmarked later than August 10 of the election calendar year. Returned ballots shall be postmarked no later than August 25 of the election calendar year. Elected officers will assume office concurrently with the newly elected Officers of the Association in the election calendar year. Installation of officers shall take place at the next Meeting of the Texas Section. Committee chairs shall be appointed by, and serve at the direction of the Texas Section Chair.

ARTICLE V. CHAPTERS
Section 1.
A Chapter of the Texas Section may be formed upon submittal of a petition by five or more Texas Section Members to the Board of Directors. Where five Members are not available to form a Chapter, the Board may consider formation of a Chapter with fewer Members if the Board believes there is justification and potential for growth.

Section 2.
Membership in a Chapter of the Texas Section shall be concurrent with Membership in the Association, and Membership in the Texas Section. Membership in a Chapter shall be effective upon receipt of annual Association dues, annual Texas Section dues, any Chapter dues, and any special assessments by the Association or Section currently in force.

ARTICLE VI. MEETINGS
Section 1.
The Texas Section shall hold meetings at such times and places as designated by the Texas Section Chair, but shall hold at least four Section meetings per year. The meetings shall be held during the Winter, Spring, Summer, and Fall. The membership shall be notified of each Meeting by the Program Chair. The announcement may be published in the Texas Section Newsletter, posted on the official Texas Section web site, sent by electronic mail, or mailed. The Spring meeting shall also be the Annual Meeting of the Texas Section.

Section 2.
Business meetings of the Board of Directors may be held at such times and places as the Texas Section Chair may designate. The Texas Section Chair shall call a meeting of the Board of Directors when requested by two or more Members of the Board, one of which is an elected officer of the Section. The meeting shall be called for a time and place directed by the Texas Section Chair but not later than the next Meeting. Minutes of such meetings shall be available to the membership at the next Texas Section Meeting. Business meetings of the Board of Directors shall be open to the membership, and, if time permits, notice of such meetings will be provided to the membership in the Texas Section Newsletter, on the official Texas Section web site, by electronic mail or by mail.

ARTICLE VII. AMENDMENTS
Section 1.
Proposals to amend this Constitution may be made by resolution of the Board of Directors or by written petition signed by at least one-third of the voting Section membership. Such proposals must be discussed during at least one general meeting prior to voting. Voting on the proposal shall be by mail ballot and will require a two-thirds affirmative vote by not less than one-half of the total membership to validate the proposal.

Section 2.
The Texas Section Secretary shall be responsible for mailing ballot forms and voting materials to the membership and shall be responsible for counting of the ballots upon their return. A report of the results of the vote shall be made at the next general Section meeting.
